  1.                     CONTRACT.

  6.      The Joint Venture "CRESP", Moscow, USSR, hereinafter
  7. referred to as "CRESP", on the one hand, and "Pronto Corp.",
  8. Bruxelles, Belgium, hereinafter referred to as
  9. "Client", on the other hand, agreed on the following items:
  10.      1. The Client with the assistance of "CRESP" organizes and
  11. holds an exhibition of its products in the Commercial Center of
  12. "CRESP" J.V. at the Exhibition of Economic Achievements,
  13. Moscow, USSR.
  14.  
  15.      2. The exhibition will be starting on February, 20, 1992 till
  16. March, 5, 1992.

  18.      Working hours:
  19.  
  20. 10.00 a.m. 6 p.m. Moscow time.
  21.  
  22.   The exhibition shall be mantled on february,17 - February
  23. 19, 1992 and dismantled on March, 6-7, 1992.

  31.      The opening ceremony will be hold on February, 20, 1992,
  32. at 12 o'clock a.m. Moscow time.
  33.  
  34.      The procedure of the opening ceremony is to be agreed by the
  35. Parties of the Present Contract no later than 2 weeks before the
  36. day of the opening.
  37.  
  38.      The Press Conference on the occasion of the opening shall be
  39. held on February, 20, 1992.
  40.  
  41.      The Presentation on the occasion of the opening shall be
  42. held on February, 20, 1992.
  43.  
  44.      The admittance to the exhibition shall be organized on the
  45. basis of issuing personal invitations, distributed by "CRESP"
  46. according to the agreed upon invitation list.
  47.  
  48.      3. In accordance with articles 1 and 2 of the Present
  49. Contract "CRESP" shall:
  50.  
  51.      3.1. Offer the Client 400 sq.m. of space for the exhibition
  52. from February, 17 till , March 7, 1991 according to the
  53. estimation
  54.  
  55.           400 sq.m. x 20 days x 13.00 US dollars = 104,000.00 US dollars.

  58.      This price for the space includes:
  59.  
  60. - "CRESP" organization expenses;
  61. - the cost of electricity supply, water supply, heating and
  62. ventilation;
  63. - the cost of security;
  64. - the cost of cleaning the exhibition territory and the
  65. inside of the pavilion;
  66. - the cost of garbage cleaning;
  67. - the cost of invitations issued to the lists agreed upon by
  68. the Parties;
  69. - the payment for the services of the pavilion's staff
  70. during 8 working hours a day.
  71.  
  72.      3.2. Offer assistance to and at the expense of the Client in
  73. performing all kind of work including the assembly and the
  74. decoration of the stands, design, artistic work, the work to
  75. mantle and dismantle the constructions at the cost of 100 US dollars per
  76. sq.m. of exhibition space (400 sq.m.).
  77.  
  78.           400 sq.m. x 100 US dollars = 40,000.00 US dollars
  79.  
  80.      This price includes:
  81.  
  82. - the design of the exposition;
  83. - decoration, artistic work;
  84. - lease of construction;
  85. - lease of electric equipment;
  86. - mantling and dismantling of constructions;
  87. - lease of carpeting;
  88. - advertising on the front "Moving Lights" of the pavilion;
  89. - advertising on the territory of the exibition.
  90.  
  91.      3.3. All the additional services, not mentioned in the
  92. articles 3.1 and 3.2 such as advertising on TV and radio, in
  93. newspapers, organization of presentation, press conference,
  94. services of interpreters, transportation and other services shall
  95. be paid for separately according to addendum signed and "CRESP"'s
  96. invoices.
  97.  
  98.      4. In accordance with articles 1 and 2 of the Present
  99. Contract the Client shall:
  100.  
  101.      4.1. Present the following documents to "CRESP":
  102.  
  103. - booklets and the list of equipment to be exhibited in 3
  104. copies with franco-stand prices mentioned for each of the
  105. exhibits before February 1, 1992;
  106. - list of services to be rendered by "CRESP" before February,
  107. 1, 1992;
  108. - 3 copies of the list of goods to be brought to the
  109. exhibition by the Client apart from the exhibits before
  110. February 1, 1992
  111.  
  112.      The above mentioned documents should be submitted to "CRESP"
  113. in both Russian and English.
  114.  
  115.      4.2. To transport the exhibits at its own expenses before
  116. the mantling of the exhibition begins.
  117.      
  118.      If the exhibits are supplied before the term of rent starts
  119. the Client shall carry all the expenses for storing the
  120. equipment.
  121.  
  122.      4.3. To submit to "CRESP" before February, 1, 1992, the list
  123. of people to be sent to work at the exhibition indicating - first
  124. and second name, date and place of birth, passport data, term of
  125. work at the exhibition, rank, the country that issued visas and
  126. the name of the tourist company.
  127.  
  128.      4.4. To send by the time of mantling the exhibition the
  129. authorized representative of the company to solve all
  130. organizational and financial issues concerning the exhibition.
  131.  
  132.      The name and the rank of this representative should be
  133. indicated in written form before February, 1, 1992.
  134.  
  135.      4.5. To insure before the opening of the exhibition its
  136. civil responsibility for the damage to health and property of the
  137. visitors, to insure rented exhibition, auxiliary and storage
  138. space from the risk of fire for the time of mantling, work and
  139. dismantling of the exhibition.
  140.  
  141.      4.6. Render assistance to "CRESP" in performing mantling and
  142. dismantling the exhibition in the terms set in article 2 of the
  143. present Contract.
  144.  
  145.      4.7. To follow safety regulations, fire, sanitary and
  146. carantine rules.
  147.  
  148.      4.8. To vacate exhibition space before March, 7.
  149.  
  150.      If the space is not to be vacated in due time the Client shall
  151. pay a fine for every day in triple amount of daily rent, defined
  152. in article 3 of the present Contract.
  153.  
  154.      4.9. To idemnify "CRESP" all the losses that are due to the
  155. Client's fault.
  156.  
  157.      4.10. Not to delegate the rights and duties determined in
  158. the Contract to the third Parties without the written approval of
  159. "CRESP".
  160.  
  161.      5. All the events of peculiar scientific-technical character
  162. such as presentation of reports, projecting of movies,
  163. distribution of advertising and other literature of these
  164. products can be carried out only after the approval of "CRESP" and
  165. only if these events go in line with the purposes and the content
  166. of the exhibition.
  167.  
  168.      6. To manage the services and all kinds of work determined
  169. by the present Contract "CRESP" appoints the Manager of the
  170. exhibition and his staff.
  171.  
  172.      7. The services of "CRESP" determined in article 3.2 of the
  173. present Contract are rendered on the basis of written orders
  174. signed by an authorized representative of the Client.
  175.  
  176.      8. The Client shall pay for all the services rendered by
  177. "CRESP" and determined in article 3.1 and 3.2 of the present
  178. Contract in the following way:
  179.  
  180.      8.1. The Client shall transfer
  181.  
  182.      8.1.1. According to "CRESP"'s invoice send by fax 30% of the
  183. total cost of the contract as advance payment for the exhibition
  184. - 43,200.00 US dollars before January, 20 to "CRESP"'s account.
  185.  
  186.      8.2. If the expenses of "CRESP" to render services exceed the
  187. amount of the advance payment determined in article 8.1.1 "CRESP"
  188. has the right to stop rendering services  to the Client before
  189. the additional sum of money to ensure the payment for the
  190. services is transferred to the account of "CRESP".
  191.  
  192.      8.3. Every invoice issued by "CRESP" and not covered by the
  193. advance payment should be paid by the Client within 30 days from
  194. the date "CRESP" expedition services passed the invoice to the
  195. Client.
  196.      The Client should also inform "CRESP" of the requisites of the
  197. transfer.
  198.  
  199.      The delay in payment shall bring about the fine in the
  200. amount of 0,05% of the invoice a day but not more than 15% of the
  201. total amount of not paid invoices.
  202.  
  203.      8.4. The amount of the advance payment transferred by the
  204. Client to "CRESP"'s account and not used after "CRESP" has issued all
  205. the invoices for the services rendered during the work of the
  206. exhibition shall be returned by "CRESP" to the account of the
  207. Client in the currency of payment.
  208.  
  209.      8.5. Final payment for the exhibition held shall be made by
  210. the Client on the basis of the last invoice from "CRESP".
  211.      The Client shall inform "CRESP" in written form on finalizing
  212. payments.
  213.  
  214.      9. "CRESP" shall carry no responsibility for the loss or
  215. damage of the exhibits or other valuable goods that belong to the
  216. Client and for the damage to the Client's staff working at the
  217. exhibition or its property.
  218.      The Client shall carry responsibility based on his activity
  219. on organizing and holding the exhibition under Soviet
  220. legislation.
  221.  
  222.      10. The refusal of the Client to hold the exhibition or to
  223. rent part of the exhibition space before February, 1, 1992 shall
  224. bring about a fine the Client is supposed to pay "CRESP" in the
  225. amount of 50% rent for the refused space; - after the above
  226. mentioned date the Client shall pay 100% rent.
  227.  
  228.      11. In case the exhibition is postponed due to the
  229. circumstances of force-majeur responsibilities of the parties
  230. according to the present Contract shall no longer be valid.
  231.      "CRESP" shall pay back the Client a sum he paid to organize
  232. the exhibition in accordance with article 8.2 of the present
  233. Contract, excluding the sums used according to the order of the
  234. Client.
  235.  
  236.      12. The suit term is 1 years. This term shall start from the
  237. day "CRESP" issues its last invoice.
  238.  
  239.      13. All disputes and conflicts that may arise from the
  240. present Contract and can not be solved peacefully, shall be
  241. considered by the Court of Arbitration with the USSR Chamber of
  242. Commerce on the basis of the standard procedure.
  243.      The decision of the above mentioned Court of Arbitration
  244. shall be final and obligatory for both parties of the Contract.

  246.      14. Signed in Bruxelles "  " May 1991 in 2 copies in
  247. the English language for each Party of the Contract.
  248.  
  249.      The present Contract shall become valid the day it is signed
  250. by both Parties.
